Ordina announces friendly bid for Devote
Ordina announces that it intends to make a public offer for all outstanding shares in Devote. The Executive Boards of the two companies have announced that an agreement can reasonably be expected. Several members of Devote's Executive Board, who hold a combined 23.3% of outstanding Devote shares, have declared their willingness to tender those shares.

Devote announced on Wednesday that it has increased its stake in The Hague-based internet company InterEstate.com from 30% to 44.6%. The transaction will be paid for in cash. Devote said that InterEstate will use the proceeds to further invest in the growth of the company. InterEstate.com develops specialised internet communities and market places, or 'business webs', Devote said.

Turnover almost doubled from NLG 17.2 mln to NLG 31.0 mln. Operating income increased 29% from NLG 3.5 mln to NLG 4.5 mln. Earnings per share for 1999 increased 62% to NLG 0.84, compared with earnings per share of NLG 0.52 for 1998.

Devote announced on Thursday that it has issued 465,792 new ordinary shares in connection with the acquisition of Insite. The new shares, which represent 9.5% of the issued share capital, have been placed with existing Insite shareholders and Dutch and foreign institutional investors.

Devote announced on Wednesday that it has acquired the remaining 49% of the shares that it did not already own of Zwolle-based software company Insite. Devote acquired 51% of Insite last July. The acquisition will be financed partly by a new share issue. Insite, which employs 50 people, supports organisations define their Internet vision and strategy and develop and implement Internet business applications, including e-shops and intranet and extranet applications.

Devote said that its turnover and net profit both rose "very substantially" in the 1999 third quarter. The company said that results are in line with previous forecasts. The number of clients again increased in the third quarter, partly because of the acquisition of a number of major clients from the public sector, Devote said. For 1999 as a whole Devote expects both turnover and net profit to be approximately 80% higher than in 1998, thanks partly to the contribution made by Insite.

Two new issues close higher
Shares in telecoms company Detron and IT group Devote, which were both launched on the Amsterdam stock exchange on Friday, ended the day higher than their issue price. Detron, which was launched at EUR 15, closed at EUR 15.70 in heavy volume. Detron raised NLG 70 mln from the issue of 2.1 million new shares, while existing shareholders split NLG 80 mln from the secondary placement of 2.4 million shares.
