AND incurs losses in second half
AND International Publishers will post losses for the second half-year. As a result of costs incurred by the closure of German and US offices, the publisher can no longer realise the earlier announced slightly positive forecast. AND expects positive EBITDA for 2002 and a return to profit in 2003. AND will privately place 375 million ordinary shares with Dutch holding company Roosland Beheer in order to strengthen the balance sheet and continue core activities.

Today, AND Products B.V. has officially announced a new partnership with Quintens Media B.V. on the marketing, distribution and sales of it's CD Rom routeplanning software for both the consumer and business markets throughout Europe. AND International Publishers N.V. (AND) and Roosland Beheer B.V. (Roosland), part of the Indofin Group, jointly announce that they are having discussions concerning a restructuring of the AND Group. Within this scope it is intended that the business activities of the AND Group will be downsized. Roosland intends to propose the refinancing, part of which will be the conversion of the listed subordinated convertible bond with nominal value of NLG 50 mln.

AND International Publishers nv announces that its subsidiary Biblion has been sold for an amount of more than NLG 8 mln to the Nederlandse Bibliotheek Dienst. Biblion's 2000 turnover amounts to NLG 26 mln. Biblion develops products, services and knowledge in the field of media and information provision for public libraries, their users and the educational market.

The Dutch exchange regulator was set to look into the rate fluctuation of digital route planner AND Publishers. AND soared by over 80 per from 0.69 to EUR 1.25 cent between Thursday and Monday. This rate climb was accompanied by extreme trading volumes. Investors found out the reason for the increase on Tuesday.

AND narrows H1 losses
AND reported on Monday operating losses for the first-half of 2000 narrowed to EUR 3.3 mln, compared with operating losses of EUR 5.5 mln for the first-half of 1999. Revenues fell from EUR 18.8 mln to EUR 13.1 mln. The company divested its AND Identification, resulting in a bookprofit of EUR 22 mln, and AND Cartographic Publishers activities, which the company expects will result in a book loss of EUR 4.5 mln.

Tie, AND merger talks terminated
Tie Holding and AND announced on Monday that talks on a possible merger have been terminated. Discussions about a koint business case of Tie and AND have not resulted in the definition of clear synergies, the companies said in a joined statement. It was concluded that the business fit between the core activities of both companies is too narrow to justify a merger or takeover, the statement said.

AND International Publishers' chairman chris Haveman confirmed that AND had reopened talks over a strategic partnership with Tie. AND last week terminated talks with Distefore which would have led to a takeover of AND by the German-based IT company. Haveman said AND has now rejected a stand-alone policy and is seeking a partner for expansion on the world market.

Swiss IT company Distefora has pulled out of its bid for AND International Publishers, both companies announced on Thursday. Distefora announced its bid for AND on May 22. Distefora was not prepared to pay more than EUR 2.40 a share, which AND rejected as unacceptable.

AND and Tie in talks
AND International said on Thursday at its annual general meeting of shareholders that it will conduct talks with Tie, following Tie's bid to acquire the company on Tuesday. Board member Ad Adriaansen said that AND was not happy with the fact that Tie had announced its intentions to the press. Swiss IT company Distefora made an offer to acquire AND in May.

As known, AND is in discussion with Distefora Holding, a Swiss listed Information Technology Group, which also is proposing an offer for AND.

AND International Publishers and Distefora, which made a bid for AND at the end of May, said they are not interested in talks with Tie Holding for now. Tie Holding wants to join the takeover talks because it aims to acquire parts of the technology developed by AND, while Distefora only would be interested in AND's database, Tie said. Distefora said it will only meet with Tie once the acquisition of AND is completed.

AND International Publishers and Distefora Holding said they began discussions about Distefora's bid for AND. The results of the talks will be announced "in due course", the companies said in a joint statement. AND International Publishers said on Wednesday that it is sellings its Identification unit to network security firm Bell Group of the UK for NLG 55 mln. According to provisional figures, AND made losses of NLG 15.4 mln last year, compared with NLG 3 mln in 1998. AND said the sale of Identification and other divestments are intended to bolster its financial position. Bell is paying more than 18 times the unit's operating profit, which was NLG 3 mln on sales of NLG 12 mln in 1999.

AND International Publishers announced on Thursday that its subsidiary AND Identification has concluded an agreement with ABN Amro for the provision of a card management system. The smartcards managed by this system allows ABN Amro to manage electronic transactions of business customers on the Internet in a secure and efficient way, AND said. Financial details were not provided.

The probe is focusing on the founder of AND. The insider trading allegations date from October 1997 when an flotation of 1.8 million new shares in AND was lead-managed by Leemhuis & Van Loon.

AND supplies smartcards to KPN Telecom
AND International Publishers announced on Friday that its subsidiary AND Identification has won an order with a value of between NLG 1 mln and NLG 2 mln from KPN Telecom. AND Identification is to deliver a multifunctional smartcard management system that enables KPN Telecom to manage the cards for its employees, AND said. The company said that KPN Telecom is the second company that implements the Chipper-concept for its company cards.

AND International announced on Thursday that its subsidiary AND Cartographic Publishers has signed a five year license agreement with bookseller Barnes & Noble. AND will work with Barnes & Noble's publishing arm to produce the American 'Discover the World' series. Financial details were not disclosed.

AND International announced on Tuesday that its unit AND Identification has won a contract to supply the Dutch army with its chip card management system Andis. The system will be used on 24,000 army personnel ID cards to supply extra information such as user access level and the sums spent in army tax-free shops. AND has won a contract from British Airways to develop a desktop travel planning product for its business class paessengers and travel planners. The company described the BA transaction as a financially attractive deal. Partly because of declining orders, AND's profits fell to NLG 200,000 on turnover of NLG 61.3 mln. A NLG 4.5 mln tax provision resulted in net losses of NLG 2.8 mln for the year.

AND wins order from British Airways
AND International publishers has won a contract with British Airways for the development of a desktop travel-planning product for business travelers and travel planners. The new product is at the advanced planning stage and will be ready for distribution in the second half year. The end result will be high quality planning products with schedule updates being downloaded via the Internet.

AND International Publishers reported on Monday a net loss for 1998 of NLG 2.7 mln, compared with net profit of NLG 1.5 mln the company booked in the comparible period of 1997. Turnover doubled from NLG 30.2 mln to NLG 61.3 mln. Operating income fell 56% from NLG 2.5 mln to NLG 1.1 mln. The company booked a loss per share of NLG 0,12, compared with earnings per share of NLG 0.07 for 1997.

AND International announced on Tuesday its profits fell 87% in 1998 to NLG 200,000 from NLG 1.5 mln a year earlier on turnover up 103% at NLG 61.3 mln. The news took investors by surprise as the company had not earlier issued a profit warning. AND said the slump in the second half was due to a sharp increase in personnel and disappointing sales of its airline data product in the US.
